			<title>Electronic Filing of Form ID Is Now Mandatory</title>
			<description>Application for EDGAR access codes (CIK, CCC and passwords) now has to be done online on the SEC website.&lt;P&gt;
1. Go to &lt;a href=https://www.filermanagement.edgarfiling.sec.gov/ target=_blank&gt;https://www.filermanagement.edgarfiling.sec.gov/&lt;/a&gt; and click on the button &quot;Press Here to Begin&quot;. Enter all the required information. You need to provide an email address to which the SEC can send the access codes.&lt;P&gt;
2. Print the page entitled &lt;i&gt;Form ID Application Acknowledgement&lt;/i&gt;. Sign the form (never mind that there is no signature line) in the presence of a notary public, and have the signature notarized. &lt;BR&gt;
Fax the form to (202) 504-2474 or (703) 914-4240 and keep the original for your records. &lt;P&gt;You will receive your access codes via email. Most recently, our clients have received the codes within a few hours of sending the fax.&lt;P&gt;
You should log on soon to &lt;a href=https://www.onlineforms.edgarfiling.sec.gov target=_blank&gt; https://www.onlineforms.edgarfiling.sec.gov &lt;/a&gt; (if you plan to file ownership reports) or &lt;a href=https://www.edgarfiling.sec.gov target=_blank&gt; https://www.edgarfiling.sec.gov &lt;/a&gt;(for any other filings) to verify that the codes work. When you log on, the system will ask you to create a passphrase. &lt;p&gt;

			<title>Electronic Filing Of Form ID</title>
			<description>The SEC proposed changing the application process for EDGAR access codes by moving to an electronic filing process.&lt;br&gt;
Unfortunately, the proposal still incorporates paperwork, as notarized signatures are required to be faxed to the SEC. We have submitted a comment letter addressing this issue, among others.&lt;br&gt;

			<title>SEC Changes Form 8k</title>
			<description>The eight new disclosure items include&lt;br&gt;
	--entry into a material non-ordinary course agreement;&lt;br&gt;
	--termination of a material non-ordinary course agreement;&lt;br&gt;
	--creation of a material direct financial obligation or a material obligation under an off-balance sheet arrangement;&lt;br&gt;
	--triggering events that accelerate or increase a material direct financial obligation or a material obligation under an off-balance sheet arrangement;&lt;br&gt;
	--material costs associated with exit or disposal activities;&lt;br&gt;
	--material impairments; &lt;br&gt;
	--notice of delisting or failure to satisfy a continued listing rule or standard; transfer of listing; and &lt;br&gt;
	--non-reliance on previously issued financial statements or a related audit report or completed interim review (restatements). &lt;br&gt;
&lt;br&gt;
Two disclosure items are transferred from periodic 
reports &lt;br&gt;
	--unregistered sales of equity securities; and&lt;br&gt;
	--material modifications to rights of security holders.&lt;br&gt;
&lt;br&gt;
Expanded disclosure items include&lt;br&gt;
	--departure of directors or principal officers, election of directors, or appointment of principal officers; and&lt;br&gt;
	--amendments to Articles of Incorporation or Bylaws and change in fiscal year.&lt;br&gt;
&lt;br&gt;
Compliance with these amendments will be required as of Aug. 23, 2004.</description>
